Our Social Purposes

Subjam SPC is a Social Purpose Corporation. Contrary to a traditional corporation whose primary mission is to generate profits and earnings for shareholders, we declare four “Social Purposes” in our charter to additionally support and lift up the music world.

Our four social purposes are to:

  • Positively affect global music culture
  • Support music communities
  • Promote content under free/libre licenses
  • Promote Free and Open Source Software (F/OSS) and media codecs

From our Articles of Incorporation:


ARTICLE II
PURPOSES

2.1 The Corporation shall be organized and operated as a social purpose corporation, to the greatest extent permitted a business corporation formed under the Act. The Corporation shall be devoted to promoting the art of music and supporting musicians and music communities (the “General Social Purpose”). This corporation is organized to carry out its business in a manner intended to promote positive short-term or long-term effects of, or minimize adverse short-term or long-term effects of, the Corporation’s activities upon any or all of: (1) the Corporation’s employees, suppliers or customers; and (2) the local, state, national or world community.

2.2 In addition, the Corporation is organized for the following purposes (collectively referred to as “Specific Social Purpose):

  • The Corporation will strive to positively affect global music culture. The Corporation was founded to make a positive impact in global music culture. The Corporation will continually strive to change the music world for the better through its offerings.
  • The Corporation will specifically support music communities. The Corporation has a specific mission to support the many informal and unique music communities around the world. The Corporation will continually work to help music communities grow and thrive through specific initiatives.
  • The Corporation will promote content under free/libre licenses. The Corporation will promote releasing user generated content under free and libre style licenses to further the general sentiment that music is an art form that deserves unrestricted exposure to those who enjoy both creating and consuming it.
  • The Corporation will use and promote Free and Open Source Software (F/OSS) and media codecs. The Corporation uses F/OSS software and media codecs in the core of its platforms and offerings. The Corporation acknowledges that the communities behind software such as this are perfect examples of how teams of diverse individuals can accomplish big goals when motivated simply by creating great things that others will also enjoy and improve upon. The corporation has a moral and ethical obligation to use and promote F/OSS software within its offerings as without the philosophies behind the movement, they likely would not exist.

2.3 The mission of this social purpose corporation is not necessarily compatible with, and may be contrary to, maximizing profits and earnings for shareholders, or maximizing shareholder value in any sale, merger, acquisition, or other similar actions of the Corporation.
